Minnesota Secretary of State’s Office, Business Services Division

New nonprofit organizations reserve a unique name and ensure their incorporation status with the Minnesota Secretary of State’s Office.  To reserve an name, use the "Request for Reservation of Name Form."  To become an nonprofit corporation, file articles of incorporation with the Secretary of State.

Internal Revenue Service

Nonprofit organizations must apply to the IRS for their tax-exempt status. To do so, contact the IRS for IRS Publication 557 (Tax-Exempt Status for Your Organization) and IRS Form 1023 and Form 8718 (Application for Recognition of Exemption under 501(c)(3) of the Internal Revenue Code). Organizations applying for exemption under a section other than other 501(c)(3) should file IRS Form 1024.

Minnesota Attorney General Office, Charities Division

Nonprofit organizations must register with the Attorney General before soliciting contributions by filing the Charitable Organization Registration Statement. For a copy of this form, contact the Charities Division of the Office of the Minnesota Attorney General.

Minnesota Statutes Chapter 317A (Minnesota Nonprofit Corporation Act)

The Nonprofit Corporation Act sets out most of the laws and regulations that govern nonprofit organizations operating in Minnesota -- including who can incorporate a nonprofit, what must be included in a nonprofit's articles of incorporation and bylaws, how to amend articles and bylaws, and the rights and responsibilities of board members.  Find the Act at www.revisor.leg.state.mn.us/stats/317A.

Starting a Nonprofit in Minnesota

The process for transforming your idea into an operating organization can be very complicated. This workshop is designed to provide all the information you need to start a nonprofit organization in Minnesota and begins with an understanding of why you may or may not want to start a nonprofit organization and what other opportunities may be available to you. The facilitator leads participants through the step-by-step process for incorporating and applying for tax-exempt status.  Offered once every three months by the Minnesota Council of Nonprofits.
